What This Means (2025 FDD)

According to Mrcool's 2025 Franchise Disclosure Document, franchisees must purchase System Supplies exclusively from suppliers and vendors approved and designated by Mrcool. Mrcool retains the right to modify this list of approved suppliers and vendors.

System Supplies include all merchandise, inventory, products, supplies, and goods that constitute the Approved Services and Products authorized for sale, or designated for the preparation of Approved Services and Products. They also include products, supplies, and goods designated by Mrcool for marketing, sale, provision, and delivery of the Approved Services and Products, such as uniforms, point of sale displays, and packaging. Additionally, System Supplies encompass furniture, fixtures, and equipment designated by Mrcool, as well as other items specified in the Operations Manual.

The FDD emphasizes that control over the nature, quality, branding, and source of System Supplies is critical to the Mrcool system. Franchisees must use only the System Supplies designated by Mrcool and only from those suppliers approved by Mrcool, regardless of the availability of substitute products. In many instances, Mrcool and/or its affiliates may be or may become the exclusive supplier of System Supplies.

This requirement ensures consistency and quality control across all Mrcool franchise locations, but it also limits the franchisee's ability to negotiate prices or source supplies from alternative vendors. Prospective franchisees should carefully consider the potential costs and limitations associated with this requirement.
