WHEREAS, Franchisee has requested the right to develop and operate multiple Centers (each a "Development Center") to be located with a defined geographical area (the "Development Area") in accordance with a development schedule that must be strictly adhered to, with each Center within the Development Area being opened and operating utilizing the Marks and System pursuant to the terms and conditions set forth in a separate form of Franchisor's then current Franchise Agreement for MRCOOL Centers (each, a "Franchise Agreement"); and
WHEREAS, Franchisee agrees that adherence to the terms of this Agreement, each and every Center individual unit Franchise Agreement, Franchisor's Operations Manual, and Franchisor's System standards and specifications, are essential to the operation of all MRCOOL Centers and the System as a whole.

What This Means (2025 FDD)
According to the 2025 Mrcool Franchise Disclosure Document, franchisees have the potential to develop and operate multiple Centers within a defined geographical area, known as the Development Area. This is contingent upon adhering to a development schedule. Each Center within the Development Area must be opened and operated under the terms and conditions of Mrcool's then-current Franchise Agreement for Mrcool Centers.
The FDD specifies that simultaneous with or prior to the execution of the agreement, Mrcool and the franchisee will enter into a Center Franchise Agreement for the franchisee's development and operation of a Center, referred to as the "First Development Center," located within a territory inside the Development Area. The franchisee must strictly adhere to the development schedule for opening and operating additional Centers within the Development Area.
To operate multiple Mrcool Centers, a franchisee must comply with the terms of the overarching agreement, each individual unit Franchise Agreement, Mrcool's Operations Manual, and Mrcool's System standards and specifications. These elements are essential for the operation of all Mrcool Centers and the System as a whole, ensuring consistency and quality across all franchised locations.
