What This Means (2025 FDD)

According to Mrcool's 2025 Franchise Disclosure Document, the 'Marks' are significant because they identify the Mrcool system and each Mrcool Center. These marks include service marks, trademarks, trade dress, trade names, logos, commercial symbols, and any variations or modifications acquired by Mrcool or its affiliates related to the operation of the Centers. The Mrcool franchise system itself relates to a warehouse distribution center that distributes 'MRCOOL' branded HVAC products, provides HVAC installation services, HVAC equipment servicing, and other products and services that Mrcool authorizes under the 'MRCOOL' name and marks.

The agreement emphasizes that each Mrcool Center is identified by these Marks, along with distinctive trade dress, service offerings, business formats, equipment, products, supplies, operating procedures, programs, methods, procedures, and marketing and advertising standards. These elements collectively form the Mrcool System, which Mrcool may modify over time. Franchisees are required to strictly adhere to the terms of the agreement, the Operations Manual, and Mrcool's System standards, as this adherence is crucial for the operation of all Mrcool Centers and the System as a whole.

For a prospective franchisee, this means that the right to use the Marks is central to operating a Mrcool franchise. The franchisee must use the Marks in accordance with Mrcool's standards and specifications. However, Mrcool retains the right to modify or change these marks, which could require the franchisee to update signage, marketing materials, and other branded items at their own expense. The franchisee's ability to market and operate their business is directly tied to their authorized use of these Marks, making it essential to stay compliant with Mrcool's guidelines.
