What This Means (2025 FDD)
According to the 2025 Mr. Sandless Franchise Disclosure Document, each party warrants that their execution of the agreement is free and voluntary. This means that both Mr. Sandless and the franchisee are confirming they are entering into the agreement willingly and without any coercion or undue influence. This warranty is a standard legal protection to ensure the agreement's enforceability.
This clause aims to prevent either party from later claiming they were forced or pressured into signing the agreement. If a party could successfully argue they signed involuntarily, the entire agreement could be deemed invalid. By including this warranty, Mr. Sandless seeks to ensure the franchisee cannot later claim they were misled or compelled to sign against their will.
Additionally, the agreement specifies that Pennsylvania law governs its validity and interpretation. This means that any disputes related to the agreement will be resolved under Pennsylvania law, regardless of where the franchisee's business is located. The agreement is binding upon the assigns, successors, heirs, and legal representatives of both parties, ensuring that the obligations and benefits of the agreement extend to their respective legal entities and representatives.
