Are only the terms of the Mr. Sandless Franchise Agreement binding?

According to Mr. Sandless's 2025 Franchise Disclosure Document, only the terms of the Franchise Agreement are binding, subject to applicable federal and/or state law. This is according to the integration/merger clause in Section 25.1 of the agreement. Any representations or promises made outside the Franchise Disclosure Document and other agreements may not be enforceable. However, the agreement does not disclaim the representations made in the Franchise Disclosure Document.

This means that prospective Mr. Sandless franchisees should pay close attention to everything written within the Franchise Agreement itself, as well as the FDD. Verbal promises or assurances from the franchisor that are not documented in these official documents may not be legally binding.
