in the event that the nature of the exigent circumstances renders obtaining prior approval impracticable, you must notify us of the reasons for your non-attendance as soon as it becomes practicable. All costs related to the Annual Convention, including but not limited to, travel expenses, lodging and entertainment shall be your sole responsibility.
5. CONFIDENTIAL OPERATIONS MANUAL
We will loan you one (1) copy of our confidential operations manual(s) (collectively, the "Operations Manual") containing policies, procedures, standards, specifications and methods of operating a Mr. Sandless Business. We have the right to amend and supplement the Operations Manual from time to time in our discretion. You must maintain the Operations Manual at your Business, and insert all supplements, amendments and revisions promptly upon receipt. If there is a dispute concerning the content of the Operations Manual, the master copy maintained at our headquarters will control. The Operations Manual may be provided electronically or via the Internet, at our sole and absolute discretion.
If you require a replacement Operations Manual, we will provide you a replacement copy at the cost of One Thousand Dollars ($1,000) after you surrender to us the previous Operations Manual or its remaining parts if it has been partially lost or destroyed. If your copy of the Operations Manual is lost or destroyed in its entirety, you must submit to us an affidavit of lost or destroyed manual prior to receiving a replacement copy. What This Means (2025 FDD)
According to the 2025 Mr. Sandless Franchise Disclosure Document, Mr. Sandless retains the right to amend and supplement the Operations Manual at its discretion. The Operations Manual contains the policies, procedures, standards, specifications, and methods for operating a Mr. Sandless Business. Franchisees are obligated to maintain the Operations Manual at their business location and promptly incorporate any supplements, amendments, and revisions upon receipt. In case of any dispute regarding the content of the Operations Manual, the master copy maintained at Mr. Sandless headquarters will take precedence. Mr. Sandless has the discretion to provide the Operations Manual electronically or via the Internet.
The contents of the Operations Manual are protected by copyright law, and franchisees are prohibited from disclosing the manual's contents to any unauthorized person or entity. Additionally, franchisees cannot duplicate, copy, reproduce, or alter the manual in any way. If the Operations Manual is posted on the Mr. Sandless website, it will be in a "read only" format, preventing franchisees from downloading, saving, copying, duplicating, distributing, or altering it. Violation of these copyright restrictions may result in legal penalties to the maximum extent permitted by law.
If a franchisee requires a replacement Operations Manual, Mr. Sandless will provide one at a cost of $1,000, but only after the franchisee returns the previous manual or its remaining parts. If the manual is entirely lost or destroyed, the franchisee must submit an affidavit before receiving a replacement. This highlights the importance of safeguarding the Operations Manual, as franchisees are responsible for maintaining and updating it according to Mr. Sandless's revisions, and any unauthorized use or modification of the copyrighted material is strictly prohibited.
