The distinguishing characteristics of our System include proprietary operating procedures, proprietary products, trade dress, and standards and specifications for products and services, as periodically amended in our sole discretion (the "System").
We identify the System through the Marks, certain proprietary trademarks, service marks, trade dress, logos and other indicia of origin including, without limitation.
11.7 Other Covenants
You will not, either during or after the term of this Agreement, do anything, or aid or assist any other person to do anything, which would hinder or prevent us from using or licensing the use of the Proprietary Marks in any jurisdiction. You shall not use the Proprietary Marks, or any part thereof, as part of any Website domain name without our prior written consent, which we are not required to provide.
11.8 Franchisee Developments
We shall own and have the exclusive right to use and incorporate in the System, for the benefit of other franchisees, us and our affiliates, any modifications, changes and improvements (collectively, "improvements") to the System, in whole or in part, developed or discovered by you, your principals or your employees or agents in connection with the System or the operation of a Business, without any liability or obligation to you. This includes, but is not limited to, discoveries or development of products, systems or techniques, management practices or procedures, architectural designs and philosophies and names or groups of words relating to the System or describing the services offered by Mr. Sandless Businesses.

The Mr. Sandless Franchise Agreement states that the franchisee cannot do anything that would hinder or prevent Mr. Sandless from using or licensing the use of the Proprietary Marks in any jurisdiction. The franchisee also cannot use the Proprietary Marks, or any part thereof, as part of any Website domain name without Mr. Sandless's prior written consent.
Mr. Sandless shall own and have the exclusive right to use and incorporate in the System any modifications, changes and improvements to the System, in whole or in part, developed or discovered by the franchisee. This includes discoveries or development of products, systems or techniques, management practices or procedures, architectural designs and philosophies and names or groups of words relating to the System or describing the services offered by Mr. Sandless Businesses.
