Who owns the Mr. Sandless trademarks?

According to Mr. Sandless's 2025 Franchise Disclosure Document, the owner of the Mr. Sandless trademarks, referred to as the 'Marks,' is Daniel J. Prasalowicz, who is also the President. Mr. Prasalowicz has granted Mr. Sandless the right to use these marks and to license them to franchisees for operating a Mr. Sandless outlet under the Mr. Sandless system.

The Franchise Agreement licenses the franchisee the right to operate their franchised business under the Mr. Sandless service marks. Mr. Sandless Franchise LLC has also registered its Proprietary Mark for their slogans. Mr. Prasalowicz will file all required affidavits and renew his registrations with the USPTO for the Principal Marks when they become due.

Mr. Prasalowicz licensed to Mr. Sandless the right to use the Proprietary Marks and to sublicense them to System franchisees under a March 26, 2010 license agreement. The license agreement also allows Mr. Sandless, Inc., the right to use the Proprietary Marks without the ability to sub-license. Mr. Sandless and Mr. Prasalowicz each have the right to terminate this license agreement on 30 days' notice. Upon termination of this license agreement, Mr. Prasalowicz will assume all of the rights and obligations of Mr. Sandless regarding the Proprietary Marks.

As a franchisee, it's important to understand that you are not granted any ownership rights to any of Mr. Sandless's Proprietary Marks, trade names, copyrighted materials or trade secrets. The license applies only to those Proprietary Marks, trade names, copyrighted materials and trade secrets which are designated by Mr. Sandless. You must use and display the Proprietary Marks, trade names and use the copyrighted materials and trade secrets in accordance with the specifications set forth in the Manual. You must promptly notify Mr. Sandless if you learn of any unauthorized use of the Proprietary Marks, trade names, copyrighted materials or trade secrets.
