We shall own and have the exclusive right to use and incorporate in the System, for the benefit of other franchisees, us and our affiliates, any modifications, changes and improvements (collectively, "improvements") to the System, in whole or in part, developed or discovered by you, your principals or your employees or agents in connection with the System or the operation of a Business, without any liability or obligation to you. What This Means (2025 FDD)
According to Mr. Sandless's 2025 Franchise Disclosure Document, any modifications, changes, and improvements to the Mr. Sandless system developed by a franchisee become the exclusive property of the franchisor. This includes discoveries or development of products, systems or techniques, management practices or procedures, architectural designs and philosophies and names or groups of words relating to the System.
This means that if a Mr. Sandless franchisee creates a new method, product, or any other improvement related to the Mr. Sandless system, they will not receive any compensation for it. Instead, Mr. Sandless has the right to use and incorporate these improvements into the system for the benefit of all other franchisees, as well as themselves and their affiliates.
This is a significant point for potential franchisees to consider. While franchisees may be encouraged to innovate and improve their Mr. Sandless business, they will not be financially rewarded for their contributions. The franchisor retains all rights and benefits from franchisee-developed improvements, which is a fairly standard practice in franchising.
