ITEM 13 TRADEMARKS
Our President, Daniel J. Prasalowicz is the owner of the Marks and has granted us the right to use the Marks and license to others the right to use the Marks in the operation of a Mr. Sandless outlet in accordance with the System. The Franchise Agreement will license to you the right to operate your Franchised Business under the Mr. Sandless service marks, as described below ("Principal Mark"):

Mr. Prasalowicz will file all required affidavits and renew his registrations with the USPTO for the Principal Marks above when they become due. He has filed all required affidavits and renewed his renewed his registrations for the Principal Marks.
Under a March 26, 2010 license agreement, Daniel J. Prasalowicz licensed to us the right to use the Proprietary Marks and to sublicense them to System franchisees. The license agreement also allows our Affiliate, Mr. Sandless, Inc., the right to use the Proprietary Marks without the ability to sub-license. Under the license
agreement, we and Mr. Prasalowicz each have the right to terminate this license agreement on 30 days' notice. Upon termination of this license agreement, Mr. Prasalowicz will assume all of the rights and obligations of ours regarding the Proprietary Marks. There are no other agreements that significantly limit our rights to use or license the use of the Proprietary Marks in a manner that is material to the franchise.
In addition to the United States trademark registrations described above, Mr. Prasalowicz has also registered certain Proprietary Marks in other countries, as follows:

What This Means (2025 FDD)
According to Mr. Sandless's 2025 Franchise Disclosure Document, Daniel J. Prasalowicz holds multiple key positions. He is the President of Mr. Sandless Franchise LLC. Additionally, he owns the trademarks associated with the Mr. Sandless brand and has licensed the use of these marks to Mr. Sandless Franchise LLC. Mr. Prasalowicz also serves as the Chief Executive Officer and Chief Financial Officer.
As the owner of the Mr. Sandless trademarks, Prasalowicz has granted Mr. Sandless Franchise LLC the right to use and sublicense these marks to franchisees. This arrangement is formalized through a license agreement, which can be terminated by either party with 30 days' notice. If the agreement is terminated, Prasalowicz would reassume all rights and obligations pertaining to the trademarks.
Furthermore, Mr. Prasalowicz has a 100% ownership interest in Mr. Sandless, making him a key figure in the overall operation and branding of the franchise system. He is also the contact person to report any unauthorized financial performance representations.
As President, Daniel J. Prasalowicz's signature is required on the franchise agreement for it to be fully executed.
