1. DEFINITIONS
Whenever used in this Development Agreement, the following words and terms have the following meanings:
"Developer" means the individual or entity defined as "Developer" in the introductory paragraph of this Development Agreement;
"Development Agreement" means this Development Agreement and all exhibits, attachments and amendments hereto;
"Development Fee" has the meaning given to such term in Section 3.2;
"Development Rights" means the rights granted to Developer pursuant to this Development Agreement to establish and operate Monical's Restaurants in the Development Territory;
"Development Schedule" means the schedule attached as Exhibit A setting forth the number and the Opening Dates of Monical's Restaurants to be established pursuant to this Development Agreement;
"Development Territory" has the meaning given to such term in Section 2.1;
"Franchise Agreement" means the then-currently used form of the Monical Pizza Corporation Franchise Agreement that Franchisor is offering to new Developers;
"Initial Franchise Agreement" means that certain Monical Pizza Corporation Franchise Agreement between Developer and Franchisor whereby Developer is granted the right to establish and operate its first Monical's Restaurant; and
* Capitalized terms not defined in Section 1 or in the text of this Development Agreement are defined in the Initial Franchise Agreement.
"Opening Date" means any date by which Developer is required to begin operations for each Monical's Restaurant, as listed in the Development Schedule.
2. DEVELOPMENT RIGHTS
2.1 Grant of Development Rights

What This Means (2025 FDD)
According to Monicals Pizza's 2025 Franchise Disclosure Document, the Development Agreement grants specific "Development Rights" to the Developer. These rights enable the Developer to establish and operate Monicals Pizza restaurants within a defined "Development Territory." The specifics of the number of restaurants and their opening dates are detailed in the "Development Schedule," which is attached as Exhibit A to the Development Agreement. This schedule outlines the obligations the developer must meet in terms of opening new Monicals Pizza locations.
Monicals Pizza retains certain rights within the Development Territory. Specifically, Monicals Pizza can continue to operate or allow others to operate existing Monicals Pizza restaurants within the territory as of the date of the Development Agreement. Monicals Pizza also retains the right to establish restaurants outside the Development Territory and to operate other businesses under different brands, both within and outside the Development Territory. Additionally, Monicals Pizza can acquire businesses similar to Monicals Pizza, even within the Development Territory.
The Development Agreement's term and the Development Rights granted to the Developer expire on the last Opening Date specified in the Development Schedule. Upon expiration, the exclusive Development Rights for the Development Territory automatically terminate, without any right for the Developer to renew or extend the agreement. However, the Developer has a right of first refusal to establish additional Monicals Pizza restaurants in the Development Territory for one year after the agreement expires, should Monicals Pizza decide to further develop the area, provided the developer meets all other terms and conditions of the Development Agreement.
