We do not typically own the premises you will lease for the franchised restaurant. If you have a potential site for the franchised restaurant, you may propose the location for our consideration. We may consent to the site after we have evaluated it. If you do not have a proposed site, we will designate a geographic area within which you must locate the franchised restaurant and we will furnish you with our general site selection criteria. You are solely responsible for locating and obtaining a site that meets our standards and criteria and that is acceptable to us. (Franchise Agreement, Sections 2.3 and 5.1) If you are signing an Area Development Agreement, the cite specifications requirements may different from the requirements of franchise agreement included in this Franchise Disclosure Document.

The general site selection and evaluation criteria which we consider in approving your site includes the condition of the premises, demographics of the surrounding area, proximity to other Monical's restaurants, proximity to competitive businesses, lease requirements, traffic patterns, visibility, vehicular and pedestrian access, proximity to major roads, ease of ingress and egress, available parking and overall suitability. We will provide you with written notice of our approval or disapproval of any proposed site within a reasonable time after receiving all requested information. If you and we cannot agree on a suitable

site for the franchised restaurant within 90 days after signing the Franchise Agreement, we may terminate the Franchise Agreement. (Franchise Agreement, Section 5.2)
