What This Means (2025 FDD)
According to Monicals Pizza's 2025 Franchise Disclosure Document, the Guaranty Agreement, which is related to the Franchise Agreement, is governed by and construed in accordance with the laws of the State of Illinois. This means that any legal disputes arising from the Guaranty Agreement will be interpreted under Illinois law.
This clause is important for prospective Monicals Pizza franchisees because it establishes the legal framework for interpreting the Guaranty Agreement. If a franchisee defaults on their obligations under the Franchise Agreement, and the franchisor seeks to enforce the Guaranty Agreement, the proceedings will take place under Illinois law, regardless of where the franchisee's Monicals Pizza restaurant is located.
It is typical in franchising for the franchise agreement to specify which state's laws govern the agreement. This provides clarity and predictability in case of legal disputes. Franchisees should be aware of the implications of the governing law, as it may affect their rights and obligations under the agreement.
