Franchisee acknowledges that Franchisor shall disclose Trade Secrets and other Confidential Information to Franchisee during the training program, through the Confidential Operations Manual, and as a result of guidance furnished to Franchisee during the term of this Agreement. Franchisee shall not acquire any interest in the Trade Secrets or other Confidential Information, other than the right to use it in the development and operation of the Franchised Restaurant and in performing its duties during the term of this Agreement. We have developed certain trade secrets and other confidential information, including methods of business management, sales and promotion techniques, and know-how, knowledge of, and experience in, operating a Monical's restaurant. We will provide our trade secrets and other confidential information to you during training, in the Confidential Operations Manual and as a result of the assistance we furnish you during the term of the franchise. You may only use the trade secrets and other confidential information for the purpose of operating your franchised restaurant. You may only divulge trade secrets and other confidential information to employees who must have access to it in order to operate the franchised restaurant. You are responsible for enforcing the confidentiality provisions as to your employees.
All ideas, concepts, techniques or materials concerning the System or developed, in whole or in part, using Trade Secrets or other Confidential Information, whether or not protectable intellectual property and whether created by or for Franchisee or its owners or employees, shall be promptly disclosed to Franchisor and shall be deemed the sole and exclusive property of Franchisor and works made-for-hire for Franchisor, and no compensation shall be due to Franchisee or its owners or employees therefore, and Franchisee hereby agrees to assign to Franchisor all right, title and interest in any intellectual property so developed. Monicals Pizza provides trade secrets and confidential information during training, in the Confidential Operations Manual, and through ongoing assistance. Franchisees are permitted to share this information only with employees who require access to it for the operation of the franchised restaurant. The franchisee is responsible for ensuring that their employees also maintain the confidentiality of this information.
All ideas, concepts, techniques, or materials concerning the Monicals Pizza system or developed using trade secrets or confidential information become the property of Monicals Pizza. Franchisees must disclose any such developments to Monicals Pizza, and they will not receive any compensation for these developments. Monicals Pizza has the right to incorporate these developments into the system. This ensures that any improvements or innovations made within the franchise network benefit the entire system, rather than just the individual franchisee.
