Answer from 2025 FDD Document

No default under this Development Agreement shall constitute a default under any Franchise Agreement between the parties, except to the extent that any default under this Development Agreement constitutes a default under any Franchise Agreement in accordance with the terms of the Franchise Agreement. What This Means (2025 FDD)

According to Monicals Pizza's 2025 Franchise Disclosure Document, a default under the Development Agreement does not automatically trigger a default under any existing Franchise Agreement between the developer and Monicals Pizza. The document specifies that each Franchise Agreement is independent of the Development Agreement. Therefore, the terms and conditions of each individual Franchise Agreement will dictate whether a default exists under that specific agreement.

However, the FDD also states that if a developer's Franchise Agreements are terminated, their further rights under the Development Agreement will also be terminated. This implies that while a default under the Development Agreement doesn't automatically cause a default under the Franchise Agreement, the reverse can occur, where the termination of all Franchise Agreements leads to the termination of the Development Agreement.

In essence, Monicals Pizza treats each Franchise Agreement as a separate entity. A franchisee's compliance with each agreement is evaluated independently. This protects the franchisee, as a minor infraction under the Development Agreement will not necessarily jeopardize their existing Monicals Pizza restaurants operating under separate Franchise Agreements. However, franchisees must still adhere to all terms and conditions of both the Development Agreement and each Franchise Agreement to maintain their rights and avoid potential termination.
