All ideas, concepts, techniques or materials concerning the franchised restaurant, whether or not protectable intellectual property and whether created by or for you or your owners or employees, must be promptly disclosed to us and will be deemed our sole and exclusive property and a part of the System that we may choose to adopt and/or disclose to other franchisees, and you agree to assign to us all right, title and interest in any intellectual property so developed. Likewise, we will disclose to you concepts and developments of other franchisees that we make part of the System. You must also assist us in obtaining intellectual property rights in any concept or development if requested.

What This Means (2025 FDD)
According to Monicals Pizza's 2025 Franchise Disclosure Document, any ideas, concepts, techniques, or materials related to the franchised restaurant, regardless of whether they are eligible for intellectual property protection, must be promptly disclosed to Monicals Pizza. This applies whether these creations are made by or for the franchisee, their owners, or employees.
Monicals Pizza considers these creations their sole and exclusive property and a part of the System. Monicals Pizza has the option to adopt and/or disclose these creations to other franchisees within the system. The franchisee agrees to assign all rights, titles, and interests in any intellectual property developed to Monicals Pizza.
Conversely, Monicals Pizza will disclose concepts and developments from other franchisees that become part of the Monicals Pizza System to the franchisee. Additionally, the franchisee is obligated to assist Monicals Pizza in obtaining intellectual property rights for any concept or development if requested by the company.
