What This Means (2025 FDD)
According to Monicals Pizza's 2025 Franchise Disclosure Document, franchisees are generally prohibited from owning an interest in, managing, operating, or performing services for any Competitive Business. A "Competitive Business" is defined as any business that offers menu items similar to those of Monicals Pizza or could use the company's Trade Secrets or Confidential Information. This restriction applies wherever the Competitive Business is located. However, there is a specific exception for franchisees who, as of April 1, 2008, already owned an interest in, managed, operated, or performed services for a Competitive Business. These franchisees are permitted to continue their involvement with those specific businesses.
This exception is limited to franchisees holding a franchise agreement on April 1, 2008, and only applies to the specific Competitive Businesses they were involved with as of that date. This means that a current franchisee cannot start a new competitive business or invest in an existing one, unless they meet the criteria of the exception.
This restriction is further reinforced by the requirement that franchisees and certain related individuals (such as family members, officers, and managers) may be required to sign a non-disclosure and non-competition agreement. This agreement would prevent them from engaging in any Competitive Business activities. The franchisor, Monicals Pizza, is a third-party beneficiary of these agreements and has the right to enforce them. This ensures that Monicals Pizza can protect its market position and confidential information by preventing franchisees from directly competing or supporting competitors.
