5.6.2 Franchisee shall comply with these conditions and be prepared to open and continuously operate the Franchised Restaurant within three hundred sixty-five (365) days after the Effective Date. Time is of the essence.

5.7 Failure to Open

Should Franchisee fail to commence operations of the Approved Location for the Franchised Restaurant within three hundred sixty-five (365) days after the Effective Date, Franchisor has the right to terminate this Agreement.
