What This Means (2025 FDD)

According to the 2025 Monicals Pizza Franchise Disclosure Document, officers, directors, employees, and agents of Monicals Pizza act on behalf of the franchisor. Specifically, these individuals are included in the group that the franchisee (referred to as "Developer" in the quoted text) must indemnify. This means a franchisee could be held responsible for covering losses, damages, fines, costs, and expenses, including attorney's fees, that arise from various actions related to the Monicals Pizza restaurant.

The franchisee's indemnification responsibilities extend to situations such as the development, ownership, or operation of the Monicals Pizza restaurant, violations of laws or regulations, breaches of agreements with Monicals Pizza, defamation of Monicals Pizza or its system, and any acts, errors, or omissions committed by the franchisee or their own staff. This also includes any infringement of trademarks, patents, or copyrights, or misuse of confidential information.

Monicals Pizza retains the right to independently take action to protect and defend itself against any threatened action and is entitled to indemnification, regardless of the expense or forum. This indicates that Monicals Pizza intends to protect its brand and interests, and franchisees bear a significant responsibility to ensure their operations do not create legal or financial liabilities for the franchisor.
