What This Means (2025 FDD)
According to the 2025 Monicals Pizza Franchise Disclosure Document, a "Competitive Business" is defined as any business, whether direct or indirect, that offers menu items the same as or similar to those provided by Monicals Pizza restaurants. This definition also extends to businesses that grant franchises or licenses to others to operate businesses offering similar menu items. Additionally, a business is considered competitive if Trade Secrets or other Confidential Information could be used to the disadvantage of Monicals Pizza, its affiliates, or its other franchisees.
However, the definition of "Competitive Business" has some exceptions. It does not include any business operated by the franchisee under a Franchise Agreement with Monicals Pizza. It also excludes businesses operated by a publicly-held entity in which the franchisee owns less than a five percent legal or beneficial interest. Furthermore, the term does not apply to businesses like supermarkets, grocery stores, convenience stores, or other retail stores where the primary business is not a restaurant.
This definition is important because franchisees and certain related individuals (like officers or managers) are typically restricted from owning, managing, operating, or providing services to a Competitive Business during the term of their agreement and for a period after termination or expiration. These restrictions usually apply within a certain radius of the Monicals Pizza location or other Monicals Pizza restaurants. Understanding this definition is crucial for prospective franchisees to assess the potential limitations on their business activities after their involvement with Monicals Pizza ends.
