What This Means (2025 FDD)

According to the 2025 Monicals Pizza Franchise Disclosure Document, franchisees are obligated to assist Monicals Pizza in protecting its intellectual property. Specifically, any ideas, concepts, techniques, or materials related to the Monicals Pizza system that are developed using trade secrets or confidential information are considered the sole property of Monicals Pizza. This applies regardless of whether these developments are protectable intellectual property or who created them (franchisee, owners, or employees).

The franchisee must promptly disclose any such developments to Monicals Pizza and agrees to assign all rights and interests in the intellectual property to Monicals Pizza. This includes signing any documents necessary to assist Monicals Pizza in securing or preserving these rights. Monicals Pizza, in turn, may incorporate these developments into the broader Monicals Pizza system and will share concepts and developments from other franchisees that become part of the system.

In practical terms, this means that if a Monicals Pizza franchisee innovates a new process or technique that improves operations or customer experience, that innovation belongs to Monicals Pizza. The franchisee is legally bound to transfer ownership of that intellectual property and assist Monicals Pizza in protecting it. This is a fairly standard clause in franchise agreements, as it ensures the franchisor maintains control over the brand and system-wide improvements, but it's important for franchisees to understand they won't personally own any such advancements they create.
