ITEM 8
RESTRICTIONS ON SOURCES OF PRODUCTS AND SERVICES
Required Purchases. We have the right to require that Approved Products, other products, Proprietary Ingredients, supplies (including chemicals), furniture, fixtures, equipment, and services (collectively, "Goods") that you purchase for resale or purchase or lease for use in your Restaurant: (i) meet specifications that we establish from time to time; (ii) be a specific brand, kind, or model; (iii) be purchased or leased only from Approved Suppliers; (iv) be purchased or leased only from a single source that we designate (which may include us or our affiliates or a buying cooperative organized by us or our affiliates); and/or (v) be purchased as part of a purchasing program, arrangement, or contract that we negotiate or specify. We may add or change Approved Suppliers at any time.
Issuance of Standards and Specifications. We have established Standards for many of the Goods that a typical Restaurant uses or offers for sale. To the extent that we establish Standards, require approval of Suppliers, or designate Approved Suppliers for particular Goods, we will
publish our requirements in the Manuals or otherwise in writing. We may, at any time, in our discretion, change, delete, or add to any of our specifications or quality Standards. Such modifications, however, will generally be uniform for all franchisees. We will make available to you, via electronic means or otherwise, any changes to our Manuals or Standards.
Before we approve a Supplier, we will require the following, among other things: (i) the Supplier must demonstrate that it is able to supply the item to you in accordance with our Standards, including our Standards as to the artwork and text on the items; (ii) if the Supplier is to receive access to any of our Confidential Information (defined below) Trade Secrets (defined below), or intellectual property, including logos, the Supplier must sign a confidentiality agreement and/or our standard form license agreement we prepare; (iii) the Supplier must demonstrate that it is in good standing in the business community with respect to its financial soundness and the reliability of its products or services; and (iv) the Supplier must sign all agreements we require our Suppliers to sign at that time.
We may re-inspect the facilities and Goods of any Approved Supplier and revoke approval of the Goods or Supplier if any fail to meet any of our then-current criteria. If you receive a notice of revocation of approval, you must cease purchasing or leasing the formerly-approved Goods or any Goods from the formerly-approved Supplier and you must dispose of your remaining inventory of the formerly-approved Goods as we direct. If we revoke approval of an Approved Product that you have been selling to customers or service that you have been using or offering to customers, you must immediately discontinue using or offering the service and may continue to sell the formerly-approved product only from your existing inventory for up to 30 days following our disapproval. We have the right to shorten this period if, in our opinion, the continued sale of the product would prove detrimental to our reputation. After the 30-day period, or such shorter period that we may designate, you must dispose of your remaining inventory of the formerlyapproved product as we direct.

What This Means (2025 FDD)
According to Moes Southwest Grill's 2025 Franchise Disclosure Document, Moes Southwest Grill retains the right to establish specifications for the goods that franchisees purchase. Moes Southwest Grill can mandate that products purchased for resale or use in the restaurant meet their established specifications. These goods include approved products, other products, proprietary ingredients, supplies (including chemicals), furniture, fixtures, equipment, and services.
Moes Southwest Grill also has the right to specify the brand, kind, or model of goods, designate single-source suppliers (which may include Moes Southwest Grill or its affiliates), and require participation in purchasing programs. These controls allow Moes Southwest Grill to maintain quality and consistency across all franchise locations.
Moes Southwest Grill also establishes standards for many of the goods used or offered for sale in a typical restaurant and publishes these requirements in their manuals or in writing. Moes Southwest Grill retains the discretion to change, delete, or add to any specifications or quality standards, generally applying such modifications uniformly to all franchisees. These changes are communicated to franchisees via electronic means or updates to the manuals.
Before approving a supplier, Moes Southwest Grill requires that the supplier demonstrate its ability to meet the company's standards, including those related to artwork and text on items. If the supplier gains access to confidential information, trade secrets, or intellectual property, they must sign a confidentiality agreement or a standard form license agreement. The supplier must also demonstrate good standing in the business community regarding financial soundness and product reliability and sign all required agreements. Moes Southwest Grill may re-inspect the facilities and goods of any approved supplier and can revoke approval if they fail to meet current criteria. If approval is revoked, franchisees must cease purchasing from the supplier and dispose of any remaining inventory as directed by Moes Southwest Grill.
