We or an affiliate will administer the Ad Fund. We have sole authority to direct all advertising programs and promotions and uses of the Ad Fund, with sole control over the creative concepts, materials, and media used in the programs, and the placement and allocation of advertising. We reserve the right to use any media, create any programs, and allocate advertising and promotional expenditures to any regions or locales we deem appropriate.

What This Means (2025 FDD)
According to the 2025 FDD, Moes Southwest Grill states that the Ad Fund will be administered by Moes Southwest Grill or one of its affiliates. Moes Southwest Grill has sole authority to direct all advertising programs and promotions and uses of the Ad Fund, with sole control over the creative concepts, materials, and media used in the programs, and the placement and allocation of advertising.
Moes Southwest Grill is not obligated to conduct any advertising, but may periodically formulate, develop, produce, and conduct advertising or promotional programs in such form and medium as it determines to be most effective. Moes Southwest Grill may make available for franchisees to purchase approved advertising and promotional materials, including signs, posters, and collaterals that they have prepared.
The Ad Fund is intended to be perpetual; however, Moes Southwest Grill may terminate the Ad Fund after all of the Ad Fund contributions have been spent for the purposes described in the FDD. Moes Southwest Grill is not required to have an independent audit of the Ad Fund completed, but will provide franchisees with an annual summary of the expenditures of the Ad Fund on reasonable request, but is not required to prepare financial statements for the Ad Fund.
