Upon termination of the agreement, what must the customer do with Marble Slab Creamery's Confidential Information?

According to Marble Slab Creamery's 2025 Franchise Disclosure Document, upon termination of the Franchise Agreement, the franchisee, referred to as the Customer, must promptly deliver to Marble Slab Creamery or destroy, at Marble Slab Creamery's discretion, any of Marble Slab Creamery's Confidential Information in the Customer's possession or control. The franchisee is not allowed to retain any copies of the Confidential Information.

Confidential Information includes various trade secrets and proprietary information of Marble Slab Creamery. This includes, but is not limited to, specifications, drawings, samples, plans, business operations, pricing, menus, discounts or rebates, compilations of data and information selected, arranged and processed by MSF, invoices, restaurant development information, marketing plans, financial information of MSF, and other technical, marketing and/or business information disclosed by MSF to Customer, whether oral or written in electronic or other form or media, and whether or not marked, designated or otherwise identified as "confidential" and all improvements, developments, supplements and derivations of any of the foregoing.

This obligation ensures that Marble Slab Creamery's sensitive business data remains protected even after the franchise relationship ends. This is a standard practice in franchising to safeguard the franchisor's competitive advantage and proprietary assets. The franchisee's adherence to this clause is critical to avoid potential legal repercussions and to maintain the integrity of the Marble Slab Creamery brand.
