When is the Indemnity Deposit refundable to a Management Recruiters franchisee?

According to Management Recruiters' 2024 Franchise Disclosure Document, the Indemnity Deposit is refundable to the franchisee upon completion or termination of the Pay Card Services program. However, this refund is conditional. The funds will only be returned to the extent that they are not required to indemnify or reimburse Hire Quest, a third party that facilitates electronic payroll card services, for any losses.

Specifically, Hire Quest is entitled to use the Indemnity Deposit to cover funds improperly disbursed via Pay Card, for other indemnity purposes arising from abuse, misuse, or negligent application of the Pay Card system, or for failures by the franchisee in upholding its obligations under the terms of the agreement. This means that if the franchisee misuses the Pay Card system or fails to meet their obligations, the deposit can be used to cover the resulting losses.

Furthermore, in the event of a franchisee's failure to pay any debt, fee, charge, or obligation arising under the Franchise Agreement, the Indemnity Deposit can be assessed against the franchisee for Hire Quest's benefit. Hire Quest may use the Indemnity Deposit to cover, reimburse, or make whole any obligation arising from the business relationship between the parties, including those obligations unrelated to the use of the Pay Card Services program. This indicates that the deposit serves as a security measure for various potential financial obligations of the franchisee to Hire Quest.
