What This Means (2024 FDD)

According to Management Recruiters's 2024 Franchise Disclosure Document, franchisees must immediately notify Management Recruiters if there is an infringement or challenge to their use of the copyrights. Management Recruiters will then take any action it deems appropriate. If the franchisee provides timely notice, is in full compliance with the Franchise Agreement, and properly uses the copyrights, Management Recruiters will indemnify the franchisee. This indemnification covers all expenses and damages arising from any claim challenging the franchisee's authorized use of the copyrights.

Management Recruiters retains the right to control any administrative proceedings or litigation involving the copyrights licensed to the franchisee. The franchisee is obligated to fully cooperate with Management Recruiters in defending or settling any such litigation. This means a franchisee may have to follow Management Recruiters's lead in legal matters and provide any necessary assistance.

This arrangement is fairly typical in franchising, where the franchisor owns the intellectual property and wants to maintain control over its defense. It protects the Management Recruiters system as a whole. However, it also places the responsibility and authority for handling copyright challenges firmly in the hands of Management Recruiters, which may or may not align perfectly with an individual franchisee's preferences.
