What happens if a Management Recruiters franchisee discloses trade secrets?

According to Management Recruiters' 2024 Franchise Disclosure Document, if a franchisee discloses, attempts to disclose, or threatens to disclose any of the Trade Secrets, Management Recruiters has the right to terminate the Franchise Agreement. This is in addition to all other rights and remedies, whether at law or in equity, that Management Recruiters might have against the franchisee as a result of any breach or default. Trade Secrets are defined as the confidential and trade secret property of Management Recruiters. Upon termination or expiration of the Franchise Agreement, the franchisee must immediately cease using any of the Trade Secrets.

Management Recruiters emphasizes the importance of protecting its Trade Secrets, recognizing them as the foundation of its business. The Franchise Agreement underscores the need to protect these secrets against unauthorized use or disclosure. Franchisees acknowledge this need and agree to maintain absolute confidentiality of the Trade Secrets during and after the agreement's term. They are prohibited from using the Trade Secrets in any business other than the franchised business and must implement procedures to prevent unauthorized use and disclosure.

After the termination or expiration of the agreement, the franchisee is also restricted from sharing any confidential information or Trade Secrets with any competing business for a period of two years. This includes not only the franchisee but also their principals, partners, members, shareholders, and their respective family members. These measures are in place to protect Management Recruiters' competitive advantage and proprietary information, ensuring that former franchisees do not leverage this knowledge to benefit competitors.
