You must notify us immediately when you learn about an infringement of or challenge to your use of the copyrights. MRI will take any action we think appropriate and, if you have given us timely notice and are in full compliance with the Franchise Agreement and proper use of the copyrights, we will indemnify you for all expenses and damages arising from any claim challenging your authorized use of the copyrights. We have the right to control any administrative proceedings or litigation involving the copyrights licensed by us to you. You must fully cooperate with us in defending and/or settling the litigation.

What This Means (2024 FDD)
According to Management Recruiters's 2024 Franchise Disclosure Document, a franchisee must immediately notify Management Recruiters when they learn about an infringement of or challenge to their use of the copyrights. Management Recruiters will then take any action they deem appropriate.
If the franchisee provides timely notice of the infringement, is in full compliance with the Franchise Agreement, and properly uses the copyrights, Management Recruiters will indemnify the franchisee for all expenses and damages arising from any claim challenging the franchisee's authorized use of the copyrights. This means Management Recruiters will cover the franchisee's costs if they are sued for copyright infringement, provided the franchisee followed the rules.
Management Recruiters retains the right to control any administrative proceedings or litigation involving the copyrights licensed to the franchisee. The franchisee is obligated to fully cooperate with Management Recruiters in defending and/or settling any such litigation. This ensures that Management Recruiters maintains control over its intellectual property and can direct the legal strategy in case of infringement claims.
