In the Management Recruiters Franchise Agreement, what is the effect of failing to exercise a right under the agreement?
Management_Recruiters Franchise · 2024 FDDAnswer from 2024 FDD Document
No failure to exercise, or delay in exercising, any Right operates as a waiver thereof.
No single or partial exercise of any Right precludes any other or further exercise thereof or the exercise of any other Right.
The Rights under this Agreement are cumulative and are in addition to any other rights and remedies available at law or in equity or otherwise; provided that, the parties intend that the remedy set out in Section 5 (Limited Warranty) is Franchisee's exclusive remedy for the Franchisor's breach of the limited warranty set out in Section 5 and the Limitation of Liability set forth in Section 6 shall limit the remedies available to Franchisee as set forth in Section 6.

What This Means (2024 FDD)
According to the 2024 Management Recruiters Franchise Disclosure Document, the failure to exercise a right under the agreement does not act as a waiver of that right. This means that Management Recruiters can choose not to enforce a specific clause or right at one time, but it does not prevent them from enforcing it in the future.
Additionally, if Management Recruiters only partially exercises a right, it does not prevent them from fully exercising that right later, or from exercising any other rights they have under the agreement. The rights outlined in the Franchise Agreement are cumulative, meaning they are in addition to any other legal rights or remedies available to Management Recruiters.
This clause protects Management Recruiters's ability to enforce the Franchise Agreement fully, even if they have previously been lenient or have not fully exercised their rights. However, there are limitations specified in Section 5 regarding the Limited Warranty and Section 6 regarding the Limitation of Liability, which may restrict the remedies available to the franchisee under those specific sections.
For a prospective franchisee, this means that Management Recruiters retains significant power to enforce all aspects of the agreement, and past leniency should not be taken as a sign that certain clauses will not be enforced in the future. It is important to understand all obligations and potential consequences outlined in the agreement.
