Can Management Recruiters change the Marks licensed to the franchisee?

2.1. Franchise License. Franchisor grants to Franchisee and Franchisee accepts, upon the terms and conditions contained herein, a Franchise License to operate the Franchise Business, using only the Marks licensed hereunder which may be changed, improved, and further developed by Franchisor or its Affiliates from time to time. This grant applies only to the non-exclusive Location selected by the Franchisee and approved by Franchisor, which is more particularly described in Section 4, herein, and in Schedule 1, attached hereto.

What This Means (2024 FDD)
According to Management Recruiters' 2024 Franchise Disclosure Document, Management Recruiters has the right to modify the marks licensed to the franchisee. The franchise agreement grants the franchisee a license to operate the franchise business using the marks, but these marks "may be changed, improved, and further developed by Franchisor or its Affiliates from time to time." This means that Management Recruiters retains the flexibility to update or alter its branding and trademarks as it sees fit.
This provision allows Management Recruiters to keep its brand current and competitive, which can benefit franchisees in the long run. However, it also means that franchisees must be prepared to adapt to changes in signage, marketing materials, and other branded items. Franchisees are required to use the Marks to identify the Franchise Business and must prominently display the Marks on various materials according to the Brand Standards Materials.
Furthermore, Management Recruiters also grants franchisees the right to use a Secondary Name, subject to the franchisor's approval. However, franchisees must cease using the Secondary Name upon termination of the agreement. Franchisees are also required to display "A Member of the MRINetwork" in their office, email signatures, websites, and marketing materials, or any other designation that Management Recruiters requires. This ensures consistent branding across all franchise locations and reinforces the connection to the larger MRINetwork system.
