There are no agreements currently in effect which limit your right to use any of our copyrights. As of the date of this disclosure document, we are unaware of any infringing uses of or superior previous rights to any of our copyrights which could materially affect your use of them.
You must notify us immediately when you learn about an infringement of or challenge to your use of the copyrights. MRI will take any action we think appropriate and, if you have given us timely notice and are in full compliance with the Franchise Agreement and proper use of the copyrights, we will indemnify you for all expenses and damages arising from any claim challenging your authorized use of the copyrights. We have the right to control any administrative proceedings or litigation involving the copyrights licensed by us to you. You must fully cooperate with us in defending and/or settling the litigation.

What This Means (2024 FDD)
According to Management Recruiters's 2024 Franchise Disclosure Document, there are no agreements currently in effect that would limit a franchisee's right to use any of Management Recruiters's copyrights. Management Recruiters also states that, as of the date of the disclosure document, they are unaware of any infringing uses of or superior previous rights to any of their copyrights that could materially affect a franchisee's use of them. This suggests that franchisees should have a clear and unimpeded right to utilize the copyrighted materials provided by Management Recruiters for operating their franchised business.
Management Recruiters does claim copyrights and other proprietary rights in its Manual and other materials provided to franchisees for the operation of the Franchised Business. Franchisees are permitted to use these materials while they are a member of the Management Recruiters system, but only for the operation of the Franchised Business. Franchisees and their employees must keep these materials confidential and may not use them in any other business or provide them to any person other than their employees. Upon termination or expiration of the franchise agreement, all such materials must be returned to Management Recruiters.
Furthermore, the FDD stipulates that franchisees must immediately notify Management Recruiters upon learning of any infringement or challenge to their use of the copyrights. Management Recruiters will then take any action they deem appropriate. If the franchisee has provided timely notice and is in full compliance with the Franchise Agreement and proper use of the copyrights, Management Recruiters will indemnify the franchisee for all expenses and damages arising from any claim challenging their authorized use of the copyrights. Management Recruiters retains the right to control any administrative proceedings or litigation involving the copyrights licensed to franchisees, and franchisees must fully cooperate in defending and/or settling any such litigation.
