What This Means (2025 FDD)

According to Lees Famous Recipe's 2025 Franchise Disclosure Document, the Area Development Agreement grants a developer the right and obligation to establish a certain number of Lees Famous Recipe Restaurants within a specific Development Area, provided they adhere to the Development Schedule. The Franchise Agreement, on the other hand, is a separate agreement that governs the operation of each individual Lees Famous Recipe Restaurant within that Development Area.

The Area Development Agreement does not grant the developer any rights to use Lees Famous Recipe's Marks or System. These rights are only conferred through the separate Franchise Agreement executed for each restaurant. The developer must execute all Franchise Agreements and open restaurants according to the Development Schedule, regardless of increased investment requirements or financial conditions. Lees Famous Recipe retains the right to approve sites for each restaurant, but this approval does not constitute a guarantee of the site's suitability or financial success.

In essence, the Area Development Agreement sets the stage for multi-unit development, while the Franchise Agreement dictates the specific terms and conditions under which each Lees Famous Recipe restaurant will operate. The Area Development Agreement outlines the territory and schedule for development, and the Franchise Agreement details the operational requirements, use of trademarks, and other aspects of running a Lees Famous Recipe restaurant. The developer pays a Development Fee, a portion of which is credited towards the Initial Franchise Fee for each subsequent restaurant, incentivizing adherence to the development schedule.
