INTRODUCTION
- A. We and our affiliates have developed and own a distinctive format and system relating to the development and operation of Lee's Famous Recipe Restaurants featuring chicken, biscuits and other approved food and beverage items, all of which are prepared, stored and served in accordance with our System, which includes the sale of approved products and services using certain distinctive types of décor, products, equipment, supplies, confidential information, business techniques, methods and procedures, sales promotion programs, and the Marks, as we periodically may modify and further improve/
- B. The parties agree and acknowledge that we may change, improve, further develop, or otherwise modify the System from time to time as we deem appropriate in our discretion. Developer hereby acknowledges and agrees that: (i) the System and our related materials contain significant proprietary and confidential information that makes the System unique as a whole; and (ii) the combined methods, information, procedures, and theories that make up the total System or are contained in the relevant manuals are proprietary and confidential.

What This Means (2025 FDD)
According to the 2025 Lees Famous Recipe FDD, the developer is obligated to strictly adhere to the terms of the Area Development Agreement. This includes opening and operating each Lees Famous Recipe restaurant within the Development Area utilizing the Marks and System according to the terms and conditions set forth in the then-current Franchise Agreement. The System includes the sale of approved products and services using certain distinctive types of décor, products, equipment, supplies, confidential information, business techniques, methods and procedures, sales promotion programs, and the Marks.
The developer acknowledges that adherence to the terms of the Area Development Agreement, including the Operations Manual and other System standards and specifications, are essential to the operation of all Lees Famous Recipe Restaurants and the System as a whole. The Operations Manual contains mandatory specifications, recipes, and procedures that Lees Famous Recipe develops for its System, along with information relating to the franchisee's other obligations, all of which are confidential, proprietary, and the exclusive property of Lees Famous Recipe.
Time is of the essence in all actions required under the Area Development Agreement. The developer acknowledges the benefits of operating a Lees Famous Recipe Restaurant utilizing the System and desires to become a multi-unit operator subject to the terms of the Area Development Agreement and receive the benefits provided by Lees Famous Recipe. The developer is applying for the right to open and operate a certain number of Lees Famous Recipe Restaurants within the Development Area, and Lees Famous Recipe has approved such application in reliance on the developer's representations.
