You have applied for the right to open and operate a certain number of Lee's Famous Recipe Restaurants within the Development Area as set forth in this Agreement (each, a Restaurant), and we have approved such application in reliance on Developer's representations made therein.
You hereby acknowledge that adherence to the terms of this Agreement, including our Operations Manual and other System standards and specifications, are essential to the operation of all Lee's Famous Recipe Restaurants and the System as a whole.
You further acknowledge that time is of the essence in all actions required under this Agreement.

What This Means (2025 FDD)
According to Lees Famous Recipe's 2025 Franchise Disclosure Document, a developer is applying for the right to open and operate a certain number of Lees Famous Recipe restaurants within a specific Development Area. This right is granted in accordance with the terms of the Area Development Agreement. Lees Famous Recipe has approved the application based on the developer's representations. The developer acknowledges that adhering to Lees Famous Recipe's operational standards and specifications is essential for the successful operation of all Lees Famous Recipe restaurants and the overall system.
The Development Area is defined as the geographic area outlined in Exhibit A of the Area Development Agreement, where Lees Famous Recipe grants the developer the right to establish a specific number of restaurants. The developer is obligated to develop and establish these restaurants within the Development Area, ensuring they open and commence operations according to the Development Schedule. The developer also understands and agrees that the Development Area does not include Non-Traditional Venues, and Lees Famous Recipe reserves all franchise and development rights for these venues within the geographic boundaries of the Development Area.
If the developer complies with their obligations under the Area Development Agreement and all Franchise Agreements, Lees Famous Recipe will not establish or license anyone else to establish a restaurant in the Development Area. This exclusivity lasts until the earliest of (i) the termination or expiration of the Area Development Agreement, (ii) the opening of the last required restaurant under the Development Schedule, or (iii) the last date specified in the Development Schedule. However, Lees Famous Recipe retains the right to operate or grant others the right to operate Lees Famous Recipe restaurants at locations outside the Development Area and at Non-Traditional Venues within and outside the Development Area.
The Area Development Agreement is not a Franchise Agreement and does not grant the developer any rights to use Lees Famous Recipe's Marks or System. The developer must open Lees Famous Recipe Restaurants in the future according to the Development Schedule. The estimated expenses and investment requirements in Items 6 and 7 of the Franchise Disclosure Document may increase over time, potentially requiring greater initial investment and operating capital. The developer must execute all Franchise Agreements and open all restaurants according to the Development Schedule, regardless of increased investment requirements, their financial condition, or the performance of prior restaurants.
