What This Means (2025 FDD)
According to Ledgers' 2025 Franchise Disclosure Document, the Washington Addendum does indeed modify the Franchise Disclosure Document, the franchise agreement, and all related agreements for franchisees in Washington. This addendum becomes an integral part of these agreements, superseding any conflicting terms.
This modification applies specifically if (a) the offer to sell a Ledgers franchise is accepted in Washington, (b) the purchaser of the franchise is a resident of Washington, or (c) the franchised business will be located or operated, either wholly or partly, in Washington. This ensures that Ledgers franchises operating within Washington are subject to specific legal protections and considerations under Washington law.
Several provisions within the Washington Addendum highlight the modifications. For example, the addendum addresses conflict of laws, franchisee bill of rights, site of arbitration/mediation/litigation, general releases, statute of limitations, transfer fees, termination rights, buy-back provisions, non-solicitation agreements, questionnaires/acknowledgements, prohibitions on communicating with regulators, and advisory regarding franchise brokers. These modifications reflect Washington's specific legal requirements and aim to protect the rights of franchisees within the state.
