What This Means (2025 FDD)
According to Ledgers' 2025 Franchise Disclosure Document, Ledgers is not obligated to compensate a franchisee for soliciting or accepting sales from a client within the franchisee's protected territory. However, Ledgers states that it will normally direct all inquiries for services from within a franchisee's territory to that franchisee's business.
This policy means that while Ledgers retains the right to solicit clients within a franchisee's territory without compensating the franchisee, they typically forward inquiries from that territory to the local franchisee. This creates a potential risk for franchisees, as Ledgers could directly pursue clients in their territory without any obligation to share the resulting revenue.
This arrangement is not uncommon in franchising, where franchisors often balance the need to support franchisees with their own business development efforts. Prospective Ledgers franchisees should consider this aspect carefully and discuss with Ledgers how this policy is implemented in practice and what measures are in place to ensure fair distribution of leads and clients.
