What This Means (2025 FDD)

According to the 2025 Ledgers FDD, franchisees must sign, date, and deliver one copy of the Receipt of Disclosure Document to Ledgers for their records. The FDD does not specify a deadline for doing so.

However, the FDD states that Ledgers must provide the Disclosure Document to a prospective franchisee 14 calendar days before they sign a binding agreement or make a payment in connection with the proposed franchise sale. Some states, like Iowa, require that the disclosure document be provided at the earlier of the first personal meeting or 14 calendar days before signing an agreement or making a payment. Michigan requires at least 10 business days before signing any agreement or payment of any consideration, whichever occurs first. New York requires the disclosure document at the earlier of the first personal meeting or 10 business days before the execution of the franchise or other agreement or the payment of any consideration that relates to the franchise relationship.

While a specific deadline for returning the signed receipt is not mentioned, it is implied that it should be returned in a timely manner. Franchisees should clarify with Ledgers the expected timeframe for returning the receipt to ensure compliance and avoid any potential issues during the franchise approval process. Failing to provide the receipt could potentially delay the franchise process.
