What This Means (2025 FDD)
According to the 2025 Ledgers Franchise Disclosure Document, franchisees face specific restrictions regarding advertising materials. Item 8 states that franchisees must use advertising material either provided by Ledgers, from a vendor designated by Ledgers, or advertising that Ledgers has approved in writing before use. This ensures brand consistency and quality control across all Ledgers franchise locations.
Item 7 and Item 22 detail the advertising fee. Franchisees are required to contribute 3% of the previous month's Gross Revenues into the Advertising Fund monthly. This fund is used by Ledgers to advise franchisees in their advertising efforts or to conduct advertising themselves through various channels such as online, radio, television, direct mail, billboards, and print.
Ledgers has the discretion to use the advertising fund for local, regional, or national campaigns and can produce advertising material in-house or through outside agencies. While Ledgers will maintain a comprehensive website with the franchisee's location information and may engage in digital marketing, they are not obligated to spend any specific amount on advertising in the franchisee's particular area or territory. The Advertising Fund is not audited, but unaudited financial statements are available upon written request. Any unspent advertising fees may be carried over to the next fiscal year, but Ledgers cannot use these fees to solicit new franchise sales.
These stipulations mean that while franchisees contribute to the advertising fund, Ledgers retains significant control over how those funds are spent and the types of advertising used. Franchisees need to be aware that they must adhere to Ledgers's guidelines for advertising materials and promotional activities, and they should inquire about the advertising strategies and budget allocations to understand how their contributions will be utilized.
