Can Ledgers provide notice to the franchisee via email?

10.9. Counterparts
This Agreement may be executed by the parties in this Agreement in separate counterparts, each of which when so executed and delivered will be an original, but all such counterparts will together constitute but one and the same instrument. The Agreement may be signed and delivered electronically via email, facsimile or other means, which will each have the same legal effect as if signed in hardcopy with traditional ink.

What This Means (2025 FDD)
According to Ledgers' 2025 Franchise Disclosure Document, the Franchise Agreement may be signed and delivered electronically via email. Specifically, the agreement can be signed and delivered via email, facsimile, or other means. These methods will have the same legal effect as a hardcopy signed in traditional ink.
This means that Ledgers can use email to deliver legally binding documents to the franchisee, including the Franchise Agreement itself. This is a fairly standard practice in modern franchising, as it streamlines the signing process and reduces the need for physical paperwork.
However, the excerpt does not explicitly state that Ledgers can provide notices specifically via email. While the agreement can be delivered via email, other forms of communication may be required for official notices during the franchise term. A prospective franchisee should clarify with Ledgers what methods of communication are considered official for delivering important notices related to the franchise agreement.
