What This Means (2025 FDD)
According to the 2025 Ledgers Franchise Disclosure Document, the arbitration or mediation site for a franchise purchased in Washington will be determined in one of three ways. First, the site can be in the state of Washington. Second, the site can be a location mutually agreed upon by both parties (Ledgers and the franchisee) at the time of the arbitration or mediation. Third, if no agreement is reached, the arbitrator or mediator will determine the site at the time of the arbitration or mediation.
This addendum applies if the offer to sell a Ledgers franchise is accepted in Washington, if the purchaser of the franchise is a resident of Washington, and/or if the franchised business is to be located or operated, wholly or partly, in Washington. This ensures that franchisees operating in Washington have a clear understanding of their rights and obligations regarding dispute resolution.
Additionally, the FDD states that if litigation is not precluded by the franchise agreement, a franchisee in Washington may bring an action or proceeding arising out of or in connection with the sale of franchises, or a violation of the Washington Franchise Investment Protection Act, in Washington. This provides an additional avenue for resolving disputes within the state's jurisdiction, offering franchisees more legal recourse.
