What This Means (2025 FDD)
According to the 2025 Ledgers Franchise Disclosure Document, a franchisee typically has thirty (30) days to cure a violation after receiving notice. Specifically, if a franchisee violates any term or condition of the Franchise Agreement, the Franchisee Operations Manual, or any other agreement with Ledgers, Ledgers may terminate the agreement if the conditions are not resolved within this 30-day period. This cure period also applies if any amount owing to Ledgers from the franchisee is more than 30 days past due.
However, the standard cure period may differ based on the franchisee's location. For instance, the Wisconsin State Addendum modifies the standard Franchise Agreement, requiring Ledgers to provide ninety (90) days written notice of a proposed termination and granting the franchisee sixty (60) days to rectify any claimed deficiency. An exception to this extended cure period exists in Wisconsin: if the reason for termination is nonpayment of sums due, the franchisee only has ten (10) days to remedy the default from the date of notice.
It is important to note that these cure periods might not apply in all situations. For example, the notice provisions do not apply if the reason for termination is insolvency, an assignment for the benefit of creditors, or bankruptcy. Prospective franchisees should carefully review the Franchise Agreement and any applicable state addenda to understand their rights and obligations regarding termination and cure periods.
