What This Means (2025 FDD)
According to Ledgers' 2025 Franchise Disclosure Document, Ledgers states that they do not know of any copyright infringement that could materially affect franchisees. Ledgers claims a copyright to their Operations Manual, marketing material such as their website text, and other printed material, although they have not presently filed a registration of those copyrights. Ledgers considers all of these items confidential and proprietary.
Ledgers does not have a duty to protect their copyrights or defend franchisees against claims arising from the use of their copyrighted items. The franchisee is responsible for keeping Ledgers' confidential information confidential, and this information includes all intellectual property associated with the Ledgers Franchise System, all other materials relating to the Franchise System that are not a matter of public record, and all information generated during the performance of the Franchise Agreement.
If a franchisee learns of any claim against them for alleged infringement, unfair competition, or similar claims about the Marks, they must promptly notify Ledgers. Ledgers has the sole right to control any administrative proceedings or litigation involving a trademark licensed by them to the franchisee. If Ledgers discontinues or modifies their Marks, the franchisee must adopt and use any new Marks as required by them, and any expenses incurred because of adopting and using these Marks are the franchisee's responsibility.
