What This Means (2025 FDD)

According to Ledgers' 2025 Franchise Disclosure Document, Ledgers has the right to incorporate suggestions from franchisees into their franchise system. Specifically, Ledgers may incorporate any suggestions, enhancement requests, recommendations, or other feedback provided by a franchisee or anyone else.

However, the FDD states that Ledgers will have sole and exclusive rights and title to such suggestions once incorporated. This means that while franchisees can offer ideas to improve the system, Ledgers is not obligated to use them, and if they do, the franchisee does not retain any ownership or intellectual property rights to their suggestions.

This clause is fairly typical in franchising. It allows Ledgers to adapt and improve its system based on franchisee input without legal complications regarding ownership of those improvements. For a prospective franchisee, this means that while their feedback is welcome, they should not expect to be compensated or recognized beyond the implementation of their idea if Ledgers chooses to use it.
