What This Means (2025 FDD)

According to Ledgers's 2025 Franchise Disclosure Document, the Washington Addendum to the Franchise Disclosure Document, Franchise Agreement, and Related Agreements modifies those documents and forms an integral part of them. This addendum applies if the offer to sell a franchise is accepted in Washington, the purchaser is a resident of Washington, and/or the franchised business is to be located or operated in Washington.

Specifically, in the event of a conflict of laws, the provisions of the Washington Franchise Investment Protection Act, chapter 19.100 RCW, will take precedence. This means that if any part of the Ledgers franchise agreement clashes with the Washington Franchise Investment Protection Act, the Act will govern the relationship between Ledgers and the franchisee in Washington.

This is a crucial protection for franchisees in Washington, as it ensures that the franchise agreement cannot override the protections afforded to them under state law. Prospective franchisees should carefully review the Washington Addendum and understand their rights under the Washington Franchise Investment Protection Act.
