What This Means (2025 FDD)

According to Ledgers' 2025 Franchise Disclosure Document, Ledgers will use commercially reasonable efforts to provide sufficient notice and transition time to migrate Optech as necessary. Optech refers to the required and optional computer hardware, software, network connectivity, telephony, electronic communications, and support services needed to operate a Ledgers franchise.

This means that Ledgers acknowledges the importance of keeping its franchisees up-to-date with technology and will try to give franchisees enough warning and time to switch over to new systems or software. This is important because technology changes rapidly, and franchisees need to be able to adapt to stay competitive and provide the best service to clients.

However, the term "commercially reasonable efforts" is subjective and open to interpretation. It does not guarantee a specific amount of notice or transition time. A prospective franchisee should inquire about what Ledgers considers to be "commercially reasonable efforts" in practice, and what factors would influence the amount of notice and transition time provided. Understanding this will help a franchisee plan for technology upgrades and budget accordingly.
