The franchise agreement grants the franchisee the right to operate their Ledgers business within this defined territory, delivering services using the Ledgers system and marks.
Schedule 1, as referenced in the FDD, defines the territory by zip codes, political, or geographic boundaries. The FDD states that a geographic area will normally include a population of 65,000 residents and at least 3,500 businesses as defined by Ledgers' marketing programs, as determined by the U.S. Census Bureau, or other mapping data that Ledgers feels is reliable.
While Ledgers promises not to establish a company-owned or franchised outlet selling the same or similar goods or services under the same or similar trademarks or service marks within the franchisee's protected territory, the franchise agreement specifies that franchisees do not receive an exclusive territory. Franchisees may face competition from other franchisees, outlets that Ledgers owns, or other channels of distribution or competitive brands that Ledgers controls. Additionally, another Ledgers franchisee or an affiliate may make sales to a Client within your Territory using our Marks, including through the use other channels of distribution, such as the Internet, catalog sales, or telemarketing.
