Learningrx Franchise · 2025 FDDAnswer from 2025 FDD Document
The Marks and the System are owned by our parent, LearningRx, Inc., and are licensed to us and our affiliates. LearningRx, Inc. has granted us a non-exclusive license ("Intellectual Property License") to use the intellectual property for purposes of franchising the System around the world. The Intellectual Property License extends for a one year period, commencing June 23, 2011, and the License Agreement
will automatically renew for subsequent one year periods provided that we are not in default or do not materially breach the Intellectual Property License by engaging in any activity which damages the Marks or the goodwill of the System.

What This Means (2025 FDD)
According to Learningrx's 2025 Franchise Disclosure Document, the Intellectual Property License, which was initially granted on June 23, 2011, will automatically renew for subsequent one-year periods if Learningrx is not in default and does not materially breach the Intellectual Property License. A material breach would include engaging in any activity that damages the Marks or the goodwill of the Learningrx system.
For a prospective Learningrx franchisee, this means that the franchisor's right to use the core intellectual property of the franchise system is contingent upon their own compliance with the terms of the Intellectual Property License. If Learningrx were to default or damage the brand's trademarks or goodwill, their license could lapse, which would have significant implications for franchisees.
This type of clause is fairly standard in franchising, as franchisors need to maintain control over their brand and intellectual property. Franchisees should pay close attention to the conditions that could trigger a default or breach, as this could ultimately affect their ability to operate their Learningrx center. It is important to understand the specific activities that Learningrx considers damaging to its Marks or goodwill to ensure compliance and protect the franchisee's investment.
