ribed above. Franchisor shall approve or disapprove Franchisee's proposed site within thirty (30) days of the date Franchisor receives written notice of the proposed site from Franchisee. Any site not approved in writing by Franchisor within the thirty (30) day time period shall be deemed disapproved. - 8.3 Center Relocation. If Franchisee requests to relocate its Center, this will be subject to our approval, which we have the right to grant or deny for any reason or no reason. Any relocation will be subject to the site selection and lease provisions contained in the Franchise Agreement and Operations Manual. Franchisee will not be required to pay Franchisor a relocation fee ("Relocation Fee") for the first request to relocate its Center within the Initial Term of the Franchise Agreement or any Successor Term. What This Means (2025 FDD)
According to Learningrx's 2025 Franchise Disclosure Document, a franchisee's request to relocate their center is always subject to the franchisor's approval. Learningrx has the right to either grant or deny the relocation request for any reason or no reason.
Any relocation will be subject to the site selection and lease provisions outlined in both the Franchise Agreement and the Operations Manual. This means that even if Learningrx approves the relocation in principle, the franchisee must still find a new site that meets Learningrx's criteria and negotiate a lease that is acceptable to Learningrx.
Notably, Learningrx does not require a relocation fee for the first relocation request made within the initial term of the Franchise Agreement or any subsequent term. However, a Relocation Fee of $250.00 is required if the franchisee requests a second relocation, and a Relocation Fee of $500.00 is required if the franchisee requests a third relocation within the Initial Term of the Franchise Agreement or any Successor Term. The franchisee bears the sole expense for any relocation of their Learningrx center. Learningrx will base its approval on factors such as population density, income levels, general location guidelines, the proximity of the proposed site to other Learningrx centers, and the estimated time required for the relocation.
