Additionally, we offer a Satellite Location Addendum, which is available to those existing franchisees that have been in operation for two years under a Franchise Agreement and whom we deem qualified, in our sole discretion, to operate a Satellite Location, to open one site in a location in accordance with the specifications in our Operations Manual ("Satellite Location").

What This Means (2025 FDD)
According to Learningrx's 2025 Franchise Disclosure Document, a franchisee can obtain a Satellite Location Addendum under specific conditions. First, the franchisee must already be an existing franchisee. Second, they must have operated their Learningrx center under the Franchise Agreement for a minimum of two years. Finally, Learningrx must deem the franchisee qualified, in its sole discretion, to operate a Satellite Location.
If these conditions are met, Learningrx may grant the franchisee the right to enter into a Satellite Location Addendum. This addendum provides a 1-year license to establish a training location that is not within another franchisee's territory. The specific requirements for a Satellite Location are detailed in Learningrx's Operations Manual.
It's important to note that Learningrx is not obligated to renew the Satellite Location Addendum after the initial 1-year period. Additionally, if Learningrx grants a new franchise in a territory that includes an existing Satellite Location, the Satellite Location owner must close their location and transfer all customers to the new franchisee by the time the new franchise opens. Satellite Locations are also not assignable without Learningrx's written approval.
