What This Means (2025 FDD)
According to Learningrx's 2025 Franchise Disclosure Document, the franchisor's decisions or actions are considered to be the result of "Reasonable Business Judgment" under specific conditions. Learningrx will be seen as satisfying its obligations when it exercises Reasonable Business Judgment in making decisions or exercising rights, especially in areas where it reserves discretion or agrees to act reasonably and in good faith.
Even if other reasonable or arguably better alternatives exist, Learningrx's decisions or actions are still deemed to be the result of Reasonable Business Judgment if they are intended, in whole or in significant part, to promote or benefit the Learningrx system generally. This holds true even if the decision or action also benefits Learningrx's financial or other individual interests.
Examples of actions that promote or benefit the Learningrx system include enhancing the value of Learningrx's trademarks, improving customer service and satisfaction, improving product quality, improving uniformity across franchises, encouraging modernization, and improving the competitive position of the Learningrx system as a whole. This clause provides Learningrx with leeway in its decision-making, as long as the decisions are made with the intent to benefit the overall franchise system.
